RULE OF LAW AND COPORATE GOVERNANCE

This paper applies basic principles of formal and informal social control to the question of law-abidance in general and to effective corporate governance in particular. The paper concludes with some practical implications for public policy concerning joint-stock companies and social
environment in which they are formed and in which they must operate.
